These Terms of Use govern your access to and use of our online masterclass platform, including all content, features, and services offered through melorieniq.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms of Use and our Privacy Policy.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Platform.

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the updated terms.

2. Eligibility

You must be at least 18 years old to create an account and use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms of Use.

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring that your account information remains accurate and up to date

4. Access to Content and Services

4.1 License to Use

Subject to your compliance with these Terms of Use, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content for your personal, non-commercial educational purposes.

4.2 Enrollment and Payment

Access to masterclasses and premium content requires enrollment and payment of applicable fees. All fees are stated in the currency displayed on the Platform and must be paid in advance. Payment terms are subject to our billing policies.

4.3 Subscription Services

If you purchase a subscription, it will automatically renew at the end of each subscription period unless you cancel before the renewal date. You authorize us to charge your payment method for recurring subscription fees.

5. Intellectual Property Rights

5.1 Platform Content

All content on the Platform, including but not limited to videos, text, graphics, logos, images, audio clips, software, and course materials (collectively, "Content"), is owned by Melorieniq, our instructors, or our licensors and is protected by international copyright, trademark, and other intellectual property laws.

5.2 Restrictions on Use

You may not:

Copy, reproduce, distribute, or publicly display any Content without our prior written permission
Modify, adapt, translate, or create derivative works based on the Content
Download or record videos or other Content for distribution or commercial use
Remove, alter, or obscure any copyright, trademark, or other proprietary notices
Use automated systems or software to extract data from the Platform
Share your account credentials or access with others

5.3 User Content

If you submit, post, or upload any content to the Platform, including comments, reviews, or feedback, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, distribute, and display such content in connection with operating and promoting the Platform.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Violating any applicable laws or regulations
Infringing on the intellectual property rights of others
Transmitting viruses, malware, or other harmful code

Interfering with or disrupting the Platform or servers

7. Refund and Cancellation Policy

Refund eligibility depends on the specific course or subscription purchased. Generally, refund requests must be submitted within a specified period after enrollment. Completed courses or accessed content may not be eligible for refunds.

You may cancel subscriptions at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods.

We reserve the right to refuse refunds if we determine that the refund policy has been abused.

8. Disclaimers and Warranties

8.1 Platform Provided "As Is"

The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding accuracy, reliability, or completeness of Content
Warranties that the Platform will be uninterrupted, secure, or error-free

8.2 Educational Content

The masterclasses and Content provided on the Platform are for educational and informational purposes only. We do not guarantee specific results, outcomes, or skill acquisition. Your success depends on your effort, dedication, and individual circumstances.

8.3 Third-Party Content

The Platform may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or content of such external sites and do not endorse them.

9. Limitation of Liability

To the maximum extent permitted by law, Melorieniq, its affiliates, instructors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, data, or use
Business interruption
Personal injury or property damage
Damages arising from your use or inability to use the Platform

Our total liability for all claims related to the Platform shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Melorieniq, its affiliates, instructors, and their respective officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

Your use of the Platform
Your violation of these Terms of Use
Your violation of any rights of another party
Any content you submit or transmit through the Platform

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms of Use
Fraudulent or illegal activity
Requests by law enforcement or other government agencies
Discontinuation or modification of the Platform

Upon termination, your right to use the Platform immediately ceases. Sections of these Terms of Use that by their nature should survive termination will remain in effect.

12. Dispute Resolution

12.1 Informal Resolution

If you have any dispute with us, you agree to first contact us at help@melorieniq.com and attempt to resolve the dispute informally for at least thirty days before initiating any formal proceedings.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, both parties agree that any dispute arising from these Terms of Use shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only and not as a class action, consolidated action, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms of Use, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Melorieniq regarding the Platform.

13.2 Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms of Use will not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms of Use or your account without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.6 Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the Platform.

15. Language

These Terms of Use are provided in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.

16. Acknowledgment

By using the Platform, you acknowledge that you have read these Terms of Use, understand them, and agree to be bound by their provisions. You further acknowledge that these Terms of Use represent the complete and exclusive statement of the agreement between you and Melorieniq regarding your use of the Platform.
